This License Agreement (this "Agreement") is made effective as of 12/15/99 at 09:23:45 between Nlb Productions, of Laguna Hills, CA. USA and EEG, Inc.. In the Agreement, the party who is granting the right to use the licensed property will be referred to as "NLB PRODUCTIONS", and the party who is receiving the right to use the licensed property will be referred to as EEG, Inc..

Titles Included In this License (referred to as "LTM" - Licensed Titled Material):

The parties agree as follows:

1. GRANT OF LICENSE. NLB PRODUCTIONS, owns/distributes the LTM In accordance with this Agreement, NLB PRODUCTIONS grants EEG, Inc. a non-exclusive web site license to distribute LTM without alteration of the LTM. NLB PRODUCTIONS retains title and ownership of the LTM. EEG, Inc. agrees not to sell the LTM on diskettes, and understands distributing of the LTM is defined as online user downloading from the EEG, Inc. owned website. EEG, Inc. may not add their URL's to the LTM, but is permitted to make and alter thumbnail pages and add URL addressing. If the contract is violated, this license is terminated without a refund of the licensing fee upon written notice by NLB PRODUCTIONS (fax or email) . The LTM may be distributed on all URL's owned and operated by licensee. If LTM is used for html design on a EEG, Inc. web page, the following must be added and be readable by the user, Images/Clips being used are courtesy of NLB Productions. (c) 1997 - 1999 NLB Productions. All Rights Reserved and needs to be placed at the bottom of the page. You are not allowed to trade LTM for links on any other sites, or trade clips for other adult material.

2. PAYMENT OF ROYALTY. EEG, Inc. will be given a license for each product EEG, Inc. purchases. This license covers the LTM covered in this license only. This license allows EEG, Inc. to use the NLB PRODUCTIONS titles listed on this license for all web sites owned and operated by EEG, Inc. without any additional fees required.

3. MODIFICATIONS. Unless the prior written consent of NLB PRODUCTIONS is obtained, EEG, Inc. may not modify or change the LTM included on this license and any title considered to under the control of EEG, Inc. in any manner. Any alterations must be approved by NLB PRODUCTIONS. All LTM are licensed and NLB PRODUCTIONS retains the model releases, and will produce any model release for any LTM at the time the LTM is challenged. If any LTM is used on the web page for design, NLB PRODUCTIONS needs to be credited on the bottom of the page with the copyright clearly displayed. All LTM may be used for banners unless otherwise stated. You may crop the LTM to size, change the file format, or rename the file as long as a copyright is affixed back onto the image.

4. TRANSFER OF RIGHTS. This Agreement shall be binding on any successors of the parties. EEG, Inc. does not have the right to assign its interests in this Agreement to any other party, unless the prior written consent is obtained by NLB PRODUCTIONS and an administrative fee of .00 is paid. In the event of bankruptcy by EEG, Inc. this license becomes terminated.

5. ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This Agreement supersedes any prior written or oral agreements between the parties. This agreement requires that licensee return one copy of the signature page to licenser in order for this agreement to be binding.

6. AMENDMENT. This Agreement may be modified or amended by NLB PRODUCTIONS, and the amendment will be sent in writing to you.

7. SEVERABILITY. If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

8. WAIVER OF CONTRACTUAL RIGHT. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

9. APPLICABLE LAW. This Agreement shall be governed by the laws of the State of California, USA. EEG, Inc. holds NLB PRODUCTIONS harmless for any legal issues relating to the distribution of the material as it relates to the community standards and adult entertainment laws as set forth in the city/county ,state or country of licensee and their web sites. NLB PRODUCTIONS does not warrant this material to be acceptable in your community, and EEG, Inc. has assumed full responsibility for determining what images are suitable for distribution. NLB PRODUCTIONS warrants the LTM are fully copyrighted, and this license warrants the LTM free of intellectual property violations only. These images are in compliance with the 18 U.S.C. 2257 US Federal law.
